1. ACCEPTANCE OF TERMS
1.1 Agreement to Terms
By accessing or using the Nursio application ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
1.2 Age Requirements
You must be at least 18 years old to use this Service, or be a nursing student under the supervision of an educational institution. Users under 18 must have parental or guardian consent. In Quebec, users under 14 require explicit parental consent as required by Loi 25.
1.3 Modifications
We reserve the right to modify these Terms at any time. We will notify you of material changes via email at least 30 days before they take effect. Your continued use of the Service after modifications constitutes acceptance of the updated Terms.
2. DEFINITIONS
- "Service": The Nursio mobile application, web platform, and all related services.
- "User": Any individual who accesses or uses the Service, including nursing professionals, nursing students, and healthcare educators.
- "Content": All educational materials, courses, clinical simulations, and resources available through the Service.
- "User Content": Any content, notes, or data created or uploaded by users, including Quick Notes.
- "De-Identified Information": Information that does not identify an individual and with respect to which there is no reasonable basis to believe that the information can be used to identify an individual.
- "Company", "we", "us", "our": 1001511837 ONTARIO INC., operating as Nursio.
3. DESCRIPTION OF SERVICE
3.1 Educational Platform
Nursio is an educational platform designed for nursing professionals and students. The Service provides:
- Clinical simulations for practice and learning
- Educational courses and study materials
- Quick Notes feature for de-identified clinical notes
- Progress tracking and performance analytics
3.2 Educational Purpose
All content and features are provided for educational and professional development purposes. The Service is designed to support nursing education and is NOT intended to replace your healthcare institution's official documentation systems.
4. USER ACCOUNTS
4.1 Account Creation
To access certain features, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly update your information if it changes
- Accept responsibility for all activities under your account
4.2 Account Termination
We may suspend or terminate your account if you violate these Terms or engage in prohibited conduct. You may delete your account at any time through the app settings or by contacting us at contact@nursio.io.
5. QUICK NOTES - DE-IDENTIFIED CLINICAL NOTES
5.1 Purpose
The Quick Notes feature allows you to create de-identified clinical notes for your personal professional reference.
5.2 Permitted Use
- Recording de-identified clinical observations for personal reference
- Creating study notes based on your clinical experience
- Documenting anonymized case information for professional development
5.3 De-Identification Requirement
You are responsible for ensuring that all notes are properly de-identified before entry. Notes must NOT contain any of the following identifiers:
- Names, initials, or any personal identifiers
- Medical record numbers or account numbers
- Dates (birth dates, admission dates, service dates) - except year
- Contact information (addresses, phone numbers, fax numbers, email)
- Social Security or insurance numbers
- Health plan beneficiary numbers
- Certificate or license numbers
- Vehicle or device identifiers
- Web URLs or IP addresses
- Biometric identifiers or photographs
- Any other information that could identify a specific individual
5.4 User Responsibility
You bear sole responsibility for ensuring your notes are properly de-identified. The Company does NOT:
- Review, monitor, or de-identify user-entered content
- Function as a medical record system
- Handle Protected Health Information (PHI)
5.5 Disclaimer
Quick Notes is a personal reference tool, not an official medical record system. For official patient documentation, use your healthcare institution's approved systems.
6. USER CONDUCT
6.1 Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms.
6.2 Prohibited Conduct
You may NOT:
- Use the Service for any illegal purpose
- Share your account credentials with others
- Attempt to gain unauthorized access to the Service or other users' accounts
- Upload malicious code or interfere with the Service's operation
- Copy, distribute, or create derivative works from our Content without permission
- Use the Service to compete with or replicate our offerings
- Enter identifiable patient information or Protected Health Information (PHI) into any feature of the Service
7. INTELLECTUAL PROPERTY
7.1 Our Content
All educational content, courses, simulations, and materials provided through the Service are owned by or licensed to the Company. You may not copy, modify, distribute, or create derivative works without our written permission.
7.2 User Content License
By creating content within the Service (such as Quick Notes), you grant us a limited license to store and process that content solely for providing the Service to you.
7.3 Feedback
Any feedback, suggestions, or improvements you provide may be used by us without obligation to you.
8. SUBSCRIPTIONS AND PAYMENTS
8.1 Subscription Plans
Certain features require a paid subscription. Subscription terms and pricing are displayed at the time of purchase.
8.2 Billing
Subscriptions are billed in advance on a recurring basis. You authorize us to charge your payment method for all fees.
8.3 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
8.4 Refunds
Refund requests are handled according to the policies of the platform through which you subscribed (Apple App Store, Google Play Store, or our website).
9. EDUCATIONAL PURPOSE DISCLAIMER
9.1 Not Medical Advice
Nursio is designed solely for educational and professional development purposes. The content provided:
- Is NOT a substitute for professional medical judgment
- Should NOT be used for actual patient care decisions
- Is intended for learning and practice scenarios only
9.2 Professional Responsibility
Healthcare professionals should always follow their institution's protocols and use approved systems for clinical documentation. The Company does not provide medical advice and is not responsible for clinical decisions made by users.
10. LIMITATION OF LIABILITY
10.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
10.2 Limitation
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
10.3 Cap on Liability
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. INDEMNIFICATION
You agree to indemnify and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any identifiable patient information you may enter into the Service in violation of these Terms
12. FOR QUEBEC RESIDENTS (LOI 25)
If you reside in Quebec, the following additional provisions apply under Loi 25 (An Act to modernize legislative provisions as regards the protection of personal information):
12.1 Your Rights
- Access: Request access to your personal information
- Rectification: Request correction of inaccurate data
- Deletion: Request deletion of your personal information ("right to be forgotten")
- De-indexation: Request removal of hyperlinks associated with your name
- Portability: Receive your data in a structured, commonly used format within 30 days
- Withdraw Consent: Withdraw your consent at any time
12.2 Our Obligations
- Privacy by Default: Privacy settings are configured to the highest level by default
- Explicit Consent: We request separate consent for each purpose of data collection
- French Language: This policy is available in French

12.3 Children Under 14
We do not knowingly collect personal information from children under 14 without parental or guardian consent, as required by Loi 25.

13. GOVERNING LAW AND JURISDICTION
These Terms of Use are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any disputes arising from these Terms shall be resolved in the courts of Ontario, Canada.
14. DISPUTE RESOLUTION
14.1 Informal Resolution
Before filing a formal dispute, you agree to contact us at contact@nursio.io to attempt informal resolution.
14.2 Arbitration
If informal resolution fails, disputes shall be resolved through binding arbitration in Ontario, Canada, except where prohibited by law.
15. GENERAL PROVISIONS
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company.
15.2 Severability
If any provision is found unenforceable, the remaining provisions shall continue in effect.
15.3 Waiver
Our failure to enforce any right does not constitute a waiver of that right.
15.4 Assignment
You may not assign these Terms without our consent. We may assign our rights and obligations freely.
